Are LLCs taxed as corporations?

In the United States, a limited liability company (LLC) may be taxed as a corporation if it elects to be taxed as a corporation for federal income tax purposes. This means that the LLC will be taxed as a C corporation or an S corporation, depending on the election.

By default, an LLC with two or more members is taxed as a partnership for federal income tax purposes, unless the LLC elects to be taxed as a corporation. This means that the LLC’s income and expenses are passed through to the members and are reported on their personal tax returns (Form 1040), but the LLC itself is not taxed as a separate entity.

If an LLC elects to be taxed as a corporation, it will be taxed as a separate entity from its owners. C corporations are taxed on their profits at the corporate level, and the profits of the corporation may be subject to double taxation if they are distributed to the owners as dividends. S corporations are taxed similarly to partnerships, with the profits and losses of the corporation passed through to the owners and taxed at the individual level.
